Terms of Service

Magic Patterns is a web platform that generates user interfaces and product designs from user input. These Terms of Service (“Terms”) apply to all users (“you” or “user”), whether individuals or entities, and define your rights and our rights in relation to the use of the services provided by North Park Labs, Inc. d.b.a. Magic Patterns (“Magic Patterns,” “we,” “us,” or “the Company”) through the website located at magicpatterns.com (the “Magic Patterns Website”), as well as through any applications and/or command line interfaces. The Magic Patterns Website, applications, and the services provided by or through them are collectively referred to in these Terms as the “Services.” By using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

The Services

Magic Patterns continually modifies and improves the Services. We reserve the right to introduce new products or features, modify existing products or features, or discontinue any aspect of the Services at any time. As of the date above, we offer the following:

  1. Magic Patterns Web Platform – A cloud-based platform for generating user interfaces.
  2. The Magic Patterns API – An API for generating user interfaces.

Definitions

“Free Plan” refers to the tier of the Services offered by Magic Patterns at no monetary cost to the user or its organization; provided that: (a) users that are part of a “workspace” pursuant to an Enterprise Plan will not be deemed to be part of a Free Plan regardless of whether their seat is free or charged; and (b) users that are provided access pursuant to an organization’s trial of the Services shall not be deemed to be part of a Free Plan even if the trial is unpaid. The Free Plan may include limited features, usage quotas, or access restrictions, as further described on the Magic Patterns Website at www.magicpatterns.com/pricing. Users enrolled in the Free Plan acknowledge and agree that certain features, such as public attribution or promotional use of their content, may apply uniquely to this plan.

Ownership

As between the Company and users, all content, including but not limited to designs, code, and user interfaces, generated through the use of the Services (“User Generated Content”) shall be the sole and exclusive property of the user who created it. Magic Patterns shall not claim any ownership rights over such User Generated Content. Magic Patterns hereby assigns all of its right, title and interest to your User Generated Content to you, subject to your compliance with these Terms.

Exception for Free Plans

Notwithstanding the foregoing, users on the Free Plan acknowledge and agree that Magic Patterns may append a visual attribution such as “Built with Magic Patterns” to any public-facing designs or interfaces created using the Services.

Confidentiality

For purposes of this Agreement, “Confidential Information” includes any data, content, materials, or information uploaded, submitted, or otherwise made available by the user through the Services, including but not limited to User Generated Content, whether or not marked as confidential. All such information shall be deemed the Confidential Information of the user. Magic Patterns agrees to:

  • maintain the confidentiality of all Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care;
  • not disclose any Confidential Information to any third party without the prior written consent of the user;
  • not use any Confidential Information for any purpose other than as necessary to provide the Services to the user in accordance with this Agreement.

Security and Data Privacy

  1. Magic Patterns Security: Magic Patterns implements robust physical, technical and administrative security measures designed to protect your information from unauthorized or accidental access, destruction, use, modification or disclosure.
  2. Privacy: we collect certain data and information about you in connection with your use of the Services and otherwise in connection with these terms.
  3. Subpoenas: Nothing in these Terms prevents us from disclosing your data to the extent required by law, subpoenas or court orders, but we will use commercially reasonable efforts to notify you where permitted to do so.
  4. Marketing Communications: By using the Services, you agree that Magic Patterns may occasionally send you marketing communications and promotional materials about our products and services via email.

Fees, Charges and other Payments

You agree to pay all fees and charges applicable to your use of the Services. Please contact Magic Patterns at support@magicpatterns.com for detailed pricing information. By providing Stripe with your payment information, you agree that Magic Patterns is authorized to immediately charge you for all fees and charges due and payable.

Your License and Acceptable Use

  1. Subject to the terms and conditions of these Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable license worldwide for you to access and use the Services for your internal business or personal purposes.
  2. Acceptable Use: you must comply with the following rules regarding acceptable use of the Services. You may not:
    • access, tamper with, or use non-public areas of the Services;
    • attempt to disrupt or overwhelm our infrastructure;
    • access or search the Services by methods not authorized by Magic Patterns.

Termination

You can decide to stop using the Services and terminate these Terms at any point in time for any reason with a written notice to us. Magic Patterns may terminate or suspend your access to the Services at any time, whether with or without cause.

Governing Law and Dispute Resolution

These Terms will be governed by and construed according to the applicable laws of the State of Delaware, USA.

General Terms

Magic Patterns will not be liable for, or be considered to be in breach of or default under these Terms on account of any delay or failure to perform as required by these Terms as a result of any cause or condition beyond its reasonable control.

Publicity Rights

Company may identify you and use your logo and trademarks on the Magic Patterns Website and in marketing materials to identify you as a user of the Services.

Referral Program Terms

By participating in Magic Patterns’ referral program, you agree to certain terms regarding referral rewards and fair use.
